1. Pursuant to the Agreement and Plan of Merger, dated as of May 10, 2023, by and among Home Point Capital Inc., Mr. Cooper Group Inc. and Heisman Merger Sub, Inc., each share of the Issuer's common stock was cancelled in exchange for a cash payment of $2.33.
