2. The reporting person is the trustee of Jessica Billingsley Living Trust and has voting and investment discretion with respect to the shares of common stock held of record by the Jessica Billingsley Living Trust, and may have or share beneficial ownership of such shares.

3. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at price ranging from $10.00 to $11.37, inclusive.
