3. Includes 26,727 Restricted Shares held by the Company to implement restrictions on transfer unless and until certain conditions are met, after giving effect to the vesting of 5,802 Restricted Shares on January 31, 2022.

4. Reflects transfer of 11,695 directly owned shares of common stock of the Company to the trust since the most recent prior report on Form 4, which were issued with respect to previously vested Restricted Shares, including those which vested on January 31, 2022 referred to in footnote 3 above.
