Explanation of Responses:

1. Represents restricted stock units ("RSUs") granted to the reporting person pursuant to the Issuer's 2021 Equity Incentive Plan. The RSUs will vest in three equal annual installments beginning on the first anniversary of the grant date, subject to the reporting person's continued qualifying service. One share of the Issuer's common stock will be issued for each RSU upon vesting.

2. Ownership total reflects the impact of the Issuer's one-for-ten reverse stock split effected on October 12, 2021, pursuant to which each outstanding share of the Issuer's common stock automatically combined into 1/10th of one share of common stock.
