Explanation of Responses:

1. Represents a grant of Restricted Stock Units ("RSUs"), which will be settled in shares of the Class A Common Stock of Wheels Up Experience Inc. upon vesting. The RSUs will vest in full upon the earlier to occur of (i) September 17, 2022 or (ii) the date of the next annual meeting of stockholders of the Company following September 17, 2021, in each case subject to the Reporting Person's continued service to the Issuer.
