Explanation of Responses:

1. Shares withheld for taxes upon the settlement in shares of restricted stock units granted under the Santander Consumer USA Holdings Inc. Omnibus Incentive Plan to the reporting person.

2. The original form 4 inadvertently understated the number of shares withheld for taxes by 40 shares.
