Explanation of Responses:

1. On March 10, 2022, the Reporting Person was granted a restricted stock award for 50,000 shares of common stock under the Issuer's 2022 Equity Incentive Plan that is subject to monthly vesting over a one year period. Subject to certain exceptions, the unvested shares are subject to forfeiture in the event that the Reporting Person's service to the Issuer is terminated prior to vesting.

The Reporting Person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein and the inclusion of these securities in this report shall not be deemed an admission of beneficial ownership of all of the reported shares for purposes of Section 16 or for any other purpose.
