Explanation of Responses:

1. Upon the closing of the Issuer's initial public offering, each Convertible Note, plus accrued interest, automatically converted into (i) one share of common stock and (ii) one five-year warrant to purchase one share of common stock at an exercise price equal to $10.80 per share.

2. The shares of Common Stock underlying the warrant are immediately exercisable.
