Explanation of Responses:

1. Reflects fully vested deferred stock units issued to the Reporting Person under the Issuer's Directors Deferral Plan (the "Plan") in lieu of cash compensation at the closing trading price on September 30, 2021. The shares subject to these units will be issued to the Reporting Person at a future date in accordance with the terms of the Plan and the Reporting Person's plan election.

2. Reflects securities held by a trust for the benefit of the Reporting Person's family, of which the Reporting Person is a trustee. The Reporting Person disclaims beneficial ownership of the shares held by such trust, except to the extent of his pecuniary interest therein.
