Explanation of Responses:

The securities reported as beneficially owned by the Reporting Person on this Form 3 were received in the February 7, 2022 pro rata distribution transaction previously reported on the Schedule 13D filed February 9, 2022 on behalf of the Reporting Person. The securities reported as beneficially owned by the Reporting Person on this Form 3 are the same as, and not in addition to, the securities described in connection with such Schedule 13D and represent the amount held on February 7, 2022. This Form 3 is being filed within the 10-day deadline applicable to the February 7, 2022 distribution triggering event.
