Explanation of Responses:

1. These shares of common stock, par value $0.01 ("Common Stock"), of Montauk Renewables, Inc. (the "Issuer") are owned directly by Circumference Energy Holdings LP ("Circumference") and indirectly by Mr. Copelyn. Mr. Copelyn is the sole manager of Circumference and has sole voting and investment power with respect to the shares of Common Stock held by Circumference. Circumference is subject to a consortium agreement with certain other stockholders of the Issuer and will be deemed to have formed a "group" for purposes of Section 13(d)(3) of the Exchange Act with such stockholders.

Remarks:

The Amendment to Form 3 is being filed to add Circumference as a joint filer. Exhibit 24 - Power of Attorney Exhibit 99.1 - Joint Filing Agreement, dated as of February 3, 2022.
