Explanation of Responses:

1. Each deferred share unit ("DSU") represents the right to receive the cash value of a Common Share of the Issuer at the time of settlement. DSUs are vested upon grant and settled upon the Reporting Person's retirement from the Issuer's Board of Directors.

Remarks:

This filing is amended to include an additional 200 shares in order to correct the inadvertent underreporting of shares held when the Form 3 was filed. All other information reported in the Form 3 remains the same.
