Explanation of Responses:

1. Subject to the reporting person continuing to provide services to the company through each vesting event, 25% of the shares subject to the option shall vest on the one year anniversary from the vesting commencement date, and thereafter the remaining shares subject to the option shall vest in equal monthly installments over the next 36 months on the same day of the month as the vesting commencement date. The vesting commencement date is December 14, 2020.
