Explanation of Responses:

1. Each ADS represents ten (10) ordinary shares, par value $0.001 per share, of Mynd.ai, Inc. (the "Company").

2. Includes an aggregate of 175,779 ADS underlying unvested restricted stock units ("RSUs") granted under the Company's equity incentive plan that are settled in ADSs. Such unvested RSUs vest as follows: (i) 26,674 on April 10, 2026, (ii) 26,674 on July 10, 2026, (iii) 26,675 on October 10, 2026, (iv) 26,674 on January 10, 2027, (v) 17,270 on April 10, 2027, (vi) 17,271 on July 10, 2027, (vii) 17,270 on October 10, 2027 and (viii) 17,271 on January 10, 2028.
