Explanation of Responses:

1. As described in the issuer's registration statement on Form S-1 (File No. 333-252413) under the heading "Description of Securities," the shares of Class B common stock of the issuer will automatically convert into shares of Class A common stock of the issuer at the time of the issuer's initial business combination or earlier at the option of the holders thereof, on a one-for-one basis, subject to certain adjustments described therein, and have no expiration date.

2. The reporting person has an indirect pecuniary interest in shares of Class B common stock of the issuer through his membership interest in Iris Acquisition Holdings LLC, over which the reporting person does not have voting or dispositive control. No securities are beneficially owned.
