Explanation of Responses:

1. Restricted stock units ("RSUs") granted under the Issuer's 2023 Omnibus Incentive Plan (the "Plan"). One-fourth of the RSUs vest on November 1, 2026, and one thirty-sixth of the RSUs vest on the first day of each month starting December 1, 2026 until November 1, 2029, in each case subject to the Reporting Person's continued service through the applicable vesting date and the terms and conditions of the underlying award agreement.

2. Each RSU represents the right to receive one ordinary share of the Issuer.
