1. The Ordinary Shares may be represented by American Depositary Shares, each of which currently represents one Ordinary Share.

2. This figure includes: (i) 1,059,305 ordinary shares held jointly by Dr. Roth and his spouse, (ii) 14,062 ordinary shares and (iii) unvested restricted stock units ("RSUs"), with each RSU representing a contingent right to receive one ordinary share, as follows: (a) RSUs to receive 938 ordinary shares vesting in equal quarterly installments until May 11, 2026 and (b) RSUs to receive 5,000 ordinary shares with 1,250 vesting on March 10, 2027 and the remainder vesting in equal quarterly installments until March 10, 2030.
