1. Stock options granted on March 10, 2025 that vest at a rate of 33.3% per year commencing on December 31, 2025.

Remarks:

The Reporting Person was appointed as the Chief Investment and Strategy Officer of the Issuer on September 24, 2025. This Form 3 is being filed late due to an inadvertent administrative oversight. Upon discovery of the oversight, the Reporting Person is filing this Form 3 promptly and intends to comply with all future filing requirements under Section 16(a) of the Securities Exchange Act of 1934.
