Mr. Kalafatides and his spouse are the members of IUC International LLC and Mr. Kalafatides may be deemed to be the beneficial owner of shares of common stock owned of record by IUC International LLC. Mr. Kalafatides and his spouse disclaim beneficial ownership of the shares owned by IUC International LLC except to the extent of his or her pecuniary interest therein.
