Explanation of Responses:

1. Total includes (i) 250 Ordinary Shares held directly and (ii) an award granted in October 2025 under the Issuer's Equity Incentive Plan ("Incentive Plan") of 38,344 time-based restricted stock units ("RSUs") vesting in April 2026. The RSUs vest upon continued employment with Issuer through the vesting date. In the event of certain changes of control of the Issuer, the RSUs will vest immediately.
