1. This restricted stock grant will vest in four equal annual installments beginning on August 3, 2023.

2. Each restricted stock unit represents a contingent right to receive one share of the Issuer's Class A common stock.

Remarks:

This Form 3 amendment replaces the Form 3 timely filed by the Reporting Person on August 15, 2022. This amendment is being filed to correct the number of shares set forth in Item 3 of Table II due to an administrative error.
