Explanation of Responses:

1. The Reporting Person was granted restricted stock units ("RSUs"), which each represent a contingent right to receive one ordinary share of the Issuer, of which 75,000 RSUs vesting on November 6, 2026 and the remaining 75,000 RSUs vesting in four equal three months installments commencing on November 4, 2027 subject to the Reporting Person's continued service to the Issuer or its subsidiaries through such vesting date.
