Explanation of Responses:

1. Represents shares of Common Stock as well as shares of Common Stock underlying restricted stock units ("RSUs") subject to time-based vesting. One-fourth of these RSUs will vest or has already vested, as the case may be, on the first anniversary of the grant date or such other shorter approved period after the grant date as applicable, and the remainder vests ratably in approximately 1/16 installments on a quarterly basis, provided that the Reporting Person remains in continuous service on each applicable vesting date.
