Explanation of Responses:

1. The 715,723 shares of Ordinary Shares are held of record by Memphis Equity Ltd ("Memphis"), a special purpose vehicle of which the Reporting Person is a director. Memphis is owned by multiple persons and entities. Of the 715,723 shares held by Memphis, 552,586 shares are attributable to BECO Booster Fund II, of which the Reporting Person serves as a General Partner, and 163,137 shares are attributable to other investors in Memphis.
