Mr. Farello has entered into a Nominee and Indemnity Agreement, pursuant to which he has agreed that all equity awards granted to him for his service as director of ODDITY Tech Ltd. are held, from the date of grant, for the benefit of (i) L Catterton Growth Partners III, L.P. and (ii) L Catterton Growth Partners III Offshore, L.P. This Form 3 has been filed after March 18, 2026 but prior to April 20, 2026 in reliance on the temporary relief made available to the directors and officers of certain foreign private issuers by the Staff of the Securities and Exchange Commission in its no-action letter dated March 13, 2026.
