1. Restricted Stock Units awarded under the Ball Corporation Stock and Cash Incentive Plan and will vest on the third anniversary of the award date, subject generally to continued employment through each vesting date.

2. Convert without cost to shares of common stock on a one-for-one basis.

3. The stock options were granted under the Ball Corporation Stock and Cash Incentive Plan and will vest in approximately four equal annual installments, beginning on the first anniversary of the award date, subject generally to continued employment through each vesting date.

4. Expires upon termination, with certain grace periods, or ten years after award, whichever is less.
