1. Held by Canarias Holding Ltd, an entity owned by the Reporting Person's spouse.

2. Restricted stock units ("RSUs") granted under the Issuer's 2023 Omnibus Incentive Plan (the "Plan"). One-tenth of the RSUs vest on March 31, 2026, June 30, 2026, September 30, 2026, December 31, 2026, March 31, 2027, June 30, 2027, September 30, 2027, December 31, 2027, March 31, 2028 and June 30, 2028 in each case subject to the Reporting Person's continued service through the applicable vesting date and the terms and conditions of the underlying award agreement. Each RSU represents the right to receive one ordinary share of the Issuer.
