1. In connection with the spin-off of First Tracks Biotherapeutics, Inc. ("First Tracks") by the Reporting Person, as defined in the Separation and Distribution Agreement, dated April 1, 2026, between the Reporting Person and First Tracks, a wholly owned subsidiary of the Reporting Person, the Reporting Person on April 1, 2026 owns all 100 outstanding shares of common stock of First Tracks.
