Explanation of Responses:

1. Represents restricted share units ("RSUs") granted on April 15, 2021 pursuant to Issuer's Second Amended and Restated 2019 Equity Incentive Plan (the "2019 EIP"). The RSUs vest in two equal installments over the two-year period from the date of grant.

2. Represents performance share units ("PSUs") granted on April 15, 2021 under the 2019 EIP. The number of PSUs reported is the target award and may be subject to a payout ranging from 0% to 200% of target award depending on the actual achievement of the performance goals at the end of the performance period. The performance period is the Issuer's fiscal year ending December 21, 2022.

3. Represents phantom restricted share units granted on April 15, 2021 pursuant to the 2019 EIP. These phantom restricted share units vest in two equal installments over the two-year period from the date of grant and may be settled in cash, ordinary shares or any combination of cash and ordinary shares.
