Represents shares of OPES Common Stock acquired by The Andrea Jane Acker Revocable Trust U/A in connection with Membership Interest Purchase Agreement, dated as of June 29, 2020, as amended by and among OPES, BurgerFi International, LLC, a Delaware limited liability company ("BurgerFi"), the members of BurgerFi, and BurgerFi Holdings, LLC, a Delaware limited liability company, and the transactions contemplated thereby. The business address for The Andrea Jane Acker Revocable Trust U/A dated April 25, 2008 is c/o 280 N. Compass Drive, Ft. Lauderdale, FL 33308. A.J. Acker, as the trustee, has voting and dispositive power over the shares.
