Effective as of November 26, 2025, pursuant to that certain Agreement and Plan of Merger, dated as of August 24, 2025, by and among Verint Systems Inc., a Delaware corporation (“Verint”), Calabrio, Inc., a Delaware corporation (“Parent”), and Viking Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”), Merger Sub merged with and into Verint, with Verint surviving as a wholly owned subsidiary of Parent.
