On December 23, 2024, pursuant to the Agreement and Plan of Merger, dated May 17, 2024, among Avangrid, Inc. (the “Company”), Iberdrola, S.A. (“Parent”) and Arizona Merger Sub, Inc., a wholly-owned subsidiary of Parent (“Merger Sub”), Merger Sub merged with and into the Company (the “Merger”), with the Company surviving the Merger as a wholly-owned subsidiary of Parent.
