On November 24, 2021, pursuant to an Agreement and Plan of Merger, dated as of August 19, 2021, by and among Inovalon Holdings, Inc., a Delaware corporation (“Company”), Ocala Bidco, Inc., a Delaware corporation (“Parent”), and Ocala Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Parent (“Merger Sub”). At the closing, Merger Sub merged with and into the Company (the “Merger”), with the Company surviving the Merger as the surviving corporation and as a wholly owned subsidiary of Parent.
