The proposed sale consists of 50,190 shares held by Morgan Creek Blockchain Opportunities Fund LP and Morgan Creek Private Opportunities LLC Series J - Figure. The securities to be sold were acquired on 02/27/2019. Each of Morgan Creek Capital Management, LLC and the above-referenced entities expressly disclaim status as an "affiliate" of the Issuer within the meaning of Rule 144.
