Sales of the 5,000,000 shares of the issuer reported on this Form 144 will be effected through Almonty Partners, LLC, a Delaware limited liability company that is jointly owned by Daniel D'Amato (the "Reporting Person") and Michael Lewis Black, who is also an affiliate of the issuer. The Reporting Person and Mr. Black share dispositive and voting power of the shares held by Almonty Partners, LLC, and are each filing a Form 144 with respect to the aggregate number of 5,000,000 shares of the issuer being sold by Almonty Partners, LLC.
