Regulation FD Disclosure.

On December 15, 2025, ScanTech AI Systems Inc. (the “Company”) issued a press release announcing that the Company filed its Form 10-Q for the quarter ended September 30, 2025. The Company also provided an update on the progress of its plan to regain compliance with Nasdaq’s listing requirements.
