Item 5.02. Departure of Directors or Certain Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 6, 2026, Mathew Tirman, the President of Satellogic, Inc. (the “Company”), notified the Company that he is resigning as an officer and employee of the Company effective March 31, 2026, to pursue other opportunities. Mr. Tirman will not receive any severance benefits in connection with his voluntary departure from the Company. The Company has no immediate plans to fill this vacated role and expects that Mr. Tirman’s duties will be distributed to other executives within the Company.
