Explanation of Responses:

1. Restricted stock awards were granted on December 19, 2023, to acquire 300,000 shares of common stock, vesting quarterly over twelve quarters, commencing March 31, 2024.

2. The executive was granted a stock option to acquire 100,000 shares of common stock vesting one twentieth of such shares on each of the twenty quarterly anniversaries of the last date of each quarter commencing March 31, 2023.

3. Pursuant to the terms of the employment agreement, the executive was granted a stock option to acquire 100,000 shares of common stock vesting one twentieth of such shares on each of the twenty quarterly anniversaries of the last date of each quarter commencing June 30, 2022.
