Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On November 23, 2022, Nick Shalek informed Root, Inc. (the "Company") of his intention to resign from the Company's Board of Directors, and its Compensation Committee on which he had served as a member, effective immediately. Mr. Shalek had served as a member of the Company's and its predecessors' boards since 2017. He is a General Partner at Ribbit Capital, a venture capital firm. Mr. Shalek's resignation will allow him to focus on other of Ribbit Capital's investments.
