Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On May 9, 2022, Elliot Geidt informed Root, Inc. (the "Company") of his intention to resign from the Company's board of directors, and its Audit, Risk and Finance Committee on which he had served as a member, effective immediately. Mr. Geidt had served as a member of the Company's and its predecessors' boards since 2018. He is Managing Director of Redpoint Ventures, a venture capital firm and early investor in the Company. Mr. Geidt's resignation will allow him to focus on other of Redpoint's investments.
