Explanation of Responses:

1. Disposed of pursuant to the Agreement and Plan of Merger, dated July 24, 2023, between Atlantic Union Bankshares Corporate (AUB) and the issuer, pursuant to which the issuer was merged with and into AUB, effective April 1, 2024 (the Merger), each issued and outstanding share of common stock of the issuer was converted into 1.35 shares of AUB common stock, with cash paid in lieu of fractional shares. The reporting person no longer beneficially owns, directly or indirectly, any shares of common stock of the issuer.
