Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 1, 2025, Louise Pentland, Senior Vice President and General Counsel of Roku, Inc. (the “Company”), notified the Company of her decision to resign from her position effective as of May 16, 2025, to pursue another opportunity. Ms. Pentland’s decision to resign was not due to any disagreement with the Company or the Board of Directors on any matter relating to the Company’s operations, policies or practices. The Company will conduct an executive search for Ms. Pentland’s successor.
