Explanation of Responses:

1. Reflects grant of restricted stock units under the Issuer's non-employee director compensation policy. One-quarter of the units vested upon grant and the remaining three-quarters of the units will vest in three equal installments on April 1, 2024, July 1, 2024 and October 1, 2024. The units convert into shares of common stock on a one-for-one basis. In accordance with the reporting person's deferral election, vested units will not settle until the reporting person ceases to serve as a member of the Issuer's board of directors or upon a change in control of the Issuer.

2. Does not include 27,624 restricted stock units from awards received during the years 2018 to 2021 which were reported by the reporting person on Table II of the Form 4 for the applicable awards and which are likewise subject to deferred settlement.
