Item 8.01 – Other Events.

Bitcoin Holdings Update

On December 13, 2024, Riot Platforms, Inc. (the “Company”) announced that, during the period between December 10, 2024 and December 12, 2024, the Company acquired approximately 5,117 Bitcoin for approximately $510 million at an average price of approximately $99,669 per Bitcoin, inclusive of fees and expenses. As of December 12, 2024, the Company increased its total Bitcoin holdings to 16,728. The Bitcoin purchases were made using a portion of the net proceeds from the offering of its 0.75% convertible senior notes due 2030 as well as cash on hand.
