Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On August 19, 2026, Dr. Ray Johnson, a member of the Board of Directors (the “Board”) of Rigetti Computing, Inc. (the “Company”), notified the Company of his resignation from the Board, effective August 28, 2026. Dr. Johnson’s decision to resign was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Company thanks Dr. Johnson for his commitment and service to the Company.
