Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On January 14, 2026, Viraj Mehta and Tim Davenport resigned from the Board of Directors (the “Board”) of Rekor Systems, Inc. (the “Company”), effective January 14, 2026.

The resignations were not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. Neither Mr. Mehta nor Mr. Davenport served on any committee of the Board at the time of their resignations.
