Item 4.01. Changes in Registrant’s Certifying Accountant

On September 21, 2022, the Audit Committee and the Board of Directors of RBB Bancorp (the “Company”) approved the engagement of Crowe LLP (“Crowe”), a national independent registered public accounting firm, as the Company’s new independent registered public accounting firm effective immediately for the fiscal year ended December 31, 2022. The Company’s appointment is subject to final client acceptance procedures by Crowe.

During the fiscal years ended December 31, 2021 and 2020, and through September 21, 2022, neither the Company, nor anyone on its behalf, consulted with Crowe regarding: (i) either the application of accounting principles to a specific transaction, either completed or proposed, or the type of audit opinion that might be rendered on the Company’s financial statements, or (ii) any matter that was the subject of a “disagreement” (as that term is defined in Item 304(a)(1)(iv) of Regulation S-K and the related instructions) or a “reportable event” (as that term is defined in Item 304(a)(1)(v) of Regulation S-K).

The Company had previously announced the dismissal of Eide Bailey LLP in a Form 8-K filed on August 18, 2022.
