Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 15, 2023, Erik Olsson notified RB Global, Inc. (the “Company”) of his decision to retire from service on the Company’s Board of Directors following the completion of his current term. Consequently, Mr. Olsson will not stand for re-election to the Board of Directors at the Company’s 2024 Annual and Special Meeting of Shareholders, which is expected to be held on May 7, 2024. Mr. Olsson’s decision to retire from the Board of Directors does not arise from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

On December 15, 2023, the Company’s Board of Directors also elected Bob Elton as Vice-Chair of the Board of Directors, effective immediately.
