Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 12, 2023, Lisa Hook notified RB Global, Inc. (the “Company”) of her decision to retire from service on the Company’s Board of Directors effective immediately for personal reasons. Ms. Hook’s decision to retire from the Board of Directors does not arise from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
