Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 16, 2024, Dr. Kush Parmar informed the Board of Directors (the Board) of Rallybio Corporation (Rallybio) that he intends to resign as a member of the Board and as Chair of the Nominating and Corporate Governance Committee of the Board effective October 31, 2024. Dr. Parmar’s resignation is not the result of any dispute or disagreement with Rallybio or the Board on any matter relating to the operations, policies or practices of Rallybio.
